Terms of Service

1. Introduction

WrkGenie is a service operated by Autchara Norris, a sole trader based in the United Kingdom (“WrkGenie”, “we”, “us”, “our”).

These Terms of Service (“Terms”) form a binding agreement between you and Autchara Norris trading as WrkGenie. By creating an account or using the Service you agree to these Terms. If you do not agree, please do not use the Service.

2. Definitions

• “Service” means the WrkGenie SaaS platform, including the website, web application, APIs, and any related features.
• “User”, “you”, “your” means the individual or business that registers for or uses the Service.
• “Subscription” means a paid plan giving access to the Service for a recurring period.
• “We”, “us”, “our”, “WrkGenie” means Autchara Norris, a sole trader based in the United Kingdom, trading as WrkGenie.

3. Eligibility

You must be at least 18 years old and able to enter into a legally binding contract under the laws of your country to use the Service. You agree to use the Service only for lawful purposes and in accordance with these Terms.

4. Your account

• You are responsible for keeping your login credentials secure and confidential.
• You must provide accurate, current, and complete information when registering and keep it up to date.
• You are responsible for all activity that occurs under your account.
• Accounts are intended for use by you and your authorised team members. You must not share a single user login with multiple individuals where this circumvents per-seat pricing.
• You must notify us immediately at hello@wrkgenie.com if you suspect any unauthorised use of your account.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful, fraudulent, or harmful purpose.
• Upload, store, or transmit malicious code, viruses, or any content that is illegal, infringing, defamatory, or harassing.
• Attempt to reverse-engineer, decompile, copy, or otherwise derive the source code of the Service, except where permitted by law.
• Scrape, crawl, harvest, or otherwise extract data from the Service by automated means without our written consent.
• Probe, scan, or test the vulnerability of the Service, or interfere with its operation, security, or availability.
• Use the Service to send unsolicited communications (spam) or in any way that breaches applicable data protection or anti-spam laws.

We may investigate and take appropriate action, including suspending or terminating accounts, in response to suspected breaches of this section.

6. The Service

WrkGenie is a SaaS platform for service businesses, including features for bookings, invoicing, quoting, payments, and operations. The Service is provided on an “as is” and “as available” basis. Features, integrations, and interfaces may evolve, be added, modified, or removed over time as the product develops.

7. Subscription & billing

• Free trial: a 14-day free trial begins when you sign up. No payment details are required to start your trial.
• Trial conversion: after 14 days, access is paused until you add a payment method and activate a plan. No automatic charge is taken.
• Auto-renewal: subscriptions automatically renew at the end of each billing cycle until cancelled.
• Payment processing: payments are processed by Stripe, Inc. (“Stripe”), a third-party payment processor. WrkGenie (Autchara Norris trading as WrkGenie) is the seller of the subscription. Stripe processes card transactions on our behalf and does not act as Merchant of Record.
• Prices: WrkGenie is not currently VAT registered. Prices displayed are the full amount charged — no additional taxes are applied at checkout.
• Price changes: we may change subscription pricing from time to time. We will give you reasonable notice (typically at least 30 days) before any price change takes effect for your subscription. Continued use after the effective date constitutes acceptance.
• Failed payments: if a payment fails, we may retry the charge, restrict access, or suspend the Service until payment is received. Repeated non-payment may result in termination.

8. Cancellation & termination

• You can cancel your Subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period; you retain access until that date.
• We may suspend or terminate your access to the Service immediately, without refund, if you breach these Terms, misuse the Service, fail to pay, or if required by law.
• On termination, your right to use the Service ends. You should export any data you wish to keep before cancellation takes effect. We may delete account data after a reasonable retention period.

9. Refunds

Refunds are governed by our separate Refund Policy, which forms part of these Terms.

10. Intellectual property

WrkGenie, the platform, the website, and all related software, designs, trademarks, and content (excluding User data) are owned by us or our licensors. You are granted a limited, non-exclusive, non-transferable right to access and use the Service in accordance with these Terms.

You retain ownership of all data and content you upload to the Service (“User Data”). You grant us a worldwide, royalty-free licence to host, store, process, and display User Data solely as necessary to provide and improve the Service.

11. User Data & responsibility

You are solely responsible for the User Data you upload, including its accuracy, legality, and your right to use it. You must comply with all applicable laws (including data protection and consumer protection laws) when using the Service to interact with your own customers.

We are not responsible for User Data or for content you or your customers send through the Service. We reserve the right to remove content or restrict accounts where content is unlawful or breaches these Terms.

12. Availability & changes

We work to keep the Service available and reliable, but we do not guarantee uninterrupted, error-free, or fully secure operation. We may, at our discretion, modify, suspend, or discontinue any part of the Service, perform maintenance, or release updates. Where reasonable, we will give advance notice of significant changes.

13. Disclaimer of warranties

To the fullest extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, secure, or error-free.

14. Limitation of liability

To the maximum extent permitted by law:

• We will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business, goodwill, or data, even if advised of the possibility of such damages.
• Our total aggregate liability arising out of or in connection with these Terms or the Service is limited to the total amounts paid by you to us for the Service in the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law (such as for death or personal injury caused by negligence, or for fraud).

15. Indemnity

You agree to indemnify and hold harmless WrkGenie and its affiliates from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of: (a) your misuse of the Service; (b) your breach of these Terms; (c) your violation of any law or third-party right; or (d) the User Data you upload or transmit through the Service.

16. Governing law & jurisdiction

These Terms are governed by the laws of England and Wales. You and we agree to the exclusive jurisdiction of the courts of England and Wales for any dispute arising out of or in connection with these Terms or the Service, without affecting any mandatory consumer rights you may have under the law of your country of residence.

17. Changes to these Terms

We may update these Terms from time to time. When we make material changes we will update the “Last updated” date and, where appropriate, notify you by email or through the Service. Continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

18. WhatsApp assistant

WrkGenie includes a WhatsApp-based AI assistant accessible to authorised account holders (“owner assistant”). By using this feature you agree to the following:

• The WhatsApp assistant is available to the registered business owner phone number associated with your WrkGenie account. You are responsible for keeping your registered phone number accurate and up to date.
• Assistant responses are informational and operational in nature. You remain solely responsible for reviewing, verifying, and approving any invoices, quotes, or business records created or suggested through the assistant before they are sent or acted upon.
• Draft documents created via the WhatsApp assistant (including invoice drafts and quote drafts) require review and finalisation inside the WrkGenie application before they take effect. WrkGenie does not guarantee that assistant-generated content is accurate, complete, or suitable for your purposes without your review.
• You must not use the WhatsApp assistant to transmit unlawful, harassing, fraudulent, or abusive content.
• WrkGenie may rate-limit, suspend, or disable WhatsApp assistant access at any time if misuse is detected or for operational reasons.
• Your use of WhatsApp to communicate with WrkGenie is also subject to Meta's Terms of Service and WhatsApp's Terms of Service.

19. AI-powered features

The Service includes features powered by artificial intelligence, including but not limited to the WhatsApp assistant, intent classification, and knowledge assistant functionality. By using these features you acknowledge and agree that:

• AI-generated content, suggestions, and responses are produced automatically and may contain errors, omissions, or inaccuracies.
• You are solely responsible for reviewing AI-generated content before using it for any business purpose, including sending invoices, quotes, or customer communications.
• WrkGenie makes no warranty as to the accuracy, completeness, or fitness for purpose of any AI-generated output.
• Your queries and message content may be transmitted to our AI service provider (OpenAI) for processing. See our Privacy Policy for details of how this data is handled.
• You must not attempt to manipulate, abuse, or circumvent AI features through prompt injection, jailbreaking, or other means.

20. Third-party services

The Service integrates with or relies upon the following third-party services. Your use of the Service may involve data being processed by these providers, each of which operates under their own terms and privacy policies:

• Meta Platforms, Inc. — WhatsApp Business Platform (messaging infrastructure and assistant delivery).
• OpenAI, L.L.C. — AI language model services (assistant features and intent classification).
• Stripe, Inc. — payment processing for subscriptions.
• Paddle.com Market Limited — subscription billing and payment processing in applicable markets.
• Google LLC — analytics (GA4) and calendar integrations where applicable.
• Microsoft Corporation — analytics (Clarity) and calendar integrations where applicable.
• Cloudflare, Inc. — content delivery, security, and infrastructure services.
• Wasabi Technologies, Inc. — cloud file storage.

WrkGenie is not responsible for the availability, conduct, or content of these third-party services. Your use of any third-party service is subject to their respective terms and policies.
